PLEASE NOTE: Learners are responsible for their own wi-fi and electronic equipment to connect with on-line / live classes or events. 'No bookings will be accepted if made without proof of payment (copy of deposit slip or electronic transfer advice) and an official company order form (when applicable).

Payment must be made at least 3 working days prior to the service delivery date. The organisers may refuse admission where evidence of payment cannot be provided. Learners will be registered on a "first-come, first-serve" basis. All group gatherings’ attendance is subject to personal choice, at own risk, and for own account.

 

Work Execution

​

  • Seraphim Coaching & Training Hub shall execute the Work, as indicated in the enclosed Scope of Work, in a professional manner and in accordance with the standard contract conditions given below.Seraphim Coaching & Training Hub has the administrative responsibility for execution of the Work. The Work shall be carried out in accordance with Seraphim Coaching & Training Hub's internal Quality Management System (QMS).

  • Client indemnifies Seraphim Coaching & Training Hub from any liability regarding assessment and moderation of learners towards the achievement of credits and/or issuing a certificate of competence unless explicitly agreed upon in writing between Seraphim Coaching & Training Hub and the Client.

 

Terms of Payment

 

  • Client shall pay Seraphim Coaching & Training Hub (on presentation of a invoice) for the Work as specified in the Agreement. Payment shall be made into Seraphim Coaching & Training Hub's bank account as stated on the invoice unless otherwise stipulated in the Agreement.

  • Client shall give Seraphim Coaching & Training Hub 15 days' written notice of any disputed items in the invoice. The undisputed part of all services, prior to withdrawal, of the invoice shall be settled according to the conditions below.

  • Prices quoted are exclusive of all local taxes.

  • Remuneration shall be made in full prior to the commencement of any work. For late payment interest will be charged at a rate of SA Prime + 2% per month or part thereof.In addition Seraphim Coaching & Training Hub has the option of stopping work until payment is received.  If the charges payable by the client to Seraphim Coaching & Training Hub are not paid in full within 30 days of the date of the invoice, the company shall be entitled to withdraw its services without prejudices to its rights.  The withdrawal services shall not relieve the client from payment of any charges due.

CANCELLATION AND REFUNDS

 

  • Goods and services relating to purchases through PayPal, EFT, Yoco, Credit / Debit Card or Cash. Please note all refunds have a 20% of total purchase amount, admin fee, as well as the cost amount of all goods purchased in anticipation of service delivery. 

  • Due to the nature of the products and services being offered, a standard 7 days cancellation policy is in effect, after making the payment for the course / programme or service and is relevant to any materials that have been received, viewed or accessed by the student. All refunds are subject to approval by the founders, and decisions are final. Refunds will be declined in the event that:

    • Materials have been received / posted to the student;

    • Gained access to the digital content for review,

    • Downloaded or received any / all content regardless of format (Physical copies / digital downloads or viewing).

    • the students / coachees fail to attend the required classes,

  • All Refunds are subject to Seraphim Coaching and Training Hub's discretion, due to the nature of the services rendered, and up to a maximum of 80% of the total value paid (Proof of payment) by the member. We retain the right to remove any member from any and all services, courses, or groups at Seraphim Coaching and Training Hub’s discretion.

The student must return any and all materials in the same condition as received, as soon as possible and at the students’ own cost and risk. When doing so the student should state his / her name, address, invoice number and the reason for cancellation. The students are liable for all costs incurred in returning the goods to;

RESERVE THE RIGHT

 

  • We reserve the right to change the content of the presentations or if necessary to substitute a speaker/presenter or facilitator. Seraphim Coaching and Training Hub reserves the right to postpone or cancel coaching / training programs should the number of bookings not justify the presentation of the event.

 

Changes: Training  and Coaching Development

 

  • Client shall be entitled, upon 7 days written notice, to request an adjustment to the Agreement thereby requesting a change in the Scope of Work, provided that such variation request shall not exceed what Seraphim Coaching & Training Hub could reasonably have foreseen at the start of this Agreement.

  • All change orders shall be in writing and shall clearly define the changes requested.

  • The additional work involved will be billed and invoiced on a day rate, or as otherwise agreed in writing, in addition to this Agreement unless otherwise agreed in writing between the Parties.

  • The change will be implemented as soon as both Parties have agreed in writing the extent of the additional Work and the payment terms thereof.

  • In the event of the client cancelling any consultation or training session the following penalty fees will be payable as agreed remuneration for services due and payable to Seraphim Coaching & Training Hub:

    • 14 days before the date of commencement - 10% of the agreed fees.

    • 7 days before the date of commencement - 50% of the agreed fee.

    • Less than 7 days but more 4 days before the date of commencement - 80% of the agreed fee.

    • Less than 4 days before the date of commencement - 100% of the agreed fee. These days are to be calculated as normal week days including weekends but excluding public holidays.

  • In the event of the client postponing any services as arranged with Seraphim Coaching & Training Hub the following penalty fees will be applicable:

    • 10 Working days prior to the date of commencement – 10% of the agreed fee

    • 5 Working days or less prior to the date of commencement – 25% of the agreed fee.

 

Termination

 

  • Both the Client and Seraphim Coaching & Training Hub shall have the right to terminate this Agreement upon written notice of such termination to the other Party.

  • In the event of termination, the Client shall reimburse Seraphim Coaching & Training Hub for any and all Work performed up to the time of termination, including all costs and expenses incurred as a consequence of such termination.Seraphim Coaching & Training Hub shall also receive a termination fee to be negotiated in addition to the amount outstanding for Work performed.

 

Intellectual Property Rights

  • All proprietary rights to the Deliverables provided by Seraphim Coaching & Training Hub in the performance of the Work shall be the property of the Seraphim Coaching and Training Hub unless otherwise specified.

  • Any pre-existing intellectual property rights (including copyright and know-how) remain the property of Seraphim Coaching & Training Hub.In addition, any documents, data and computer programs developed during the work that are not defined as Deliverables are the property Seraphim Coaching & Training Hub.

  • Client and SERAPHIM COACHING & TRAINING HUB may stipulate that the project is to be a development contract aiming to produce a special method or invention.The proprietary rights and apportionment of any commercial profits arising shall be defined under Special Conditions/Agreements.

 

Liability and indemnity

 

  • Client shall indemnify SERAPHIM COACHING & TRAINING HUB 's employees,

    • representatives and subcontractors against claims in connection with the Work as a result of:

      • the death of or personal injury to Client's employees, representatives or subcontractors;

      • the loss of or damage to property of Client, Client's employees, representatives or subcontractors.

  • SERAPHIM COACHING & TRAINING HUB shall indemnify Client, Client's employees, representatives and subcontractors against claims in connection with the Work as a result of:

    • the death of or personal injury to SERAPHIM COACHING & TRAINING HUB 's employees or representatives or subcontractors;

    • the loss of or damage to property of SERAPHIM COACHING & TRAINING HUB , SERAPHIM COACHING & TRAINING HUB 's employees, representatives or subcontractors.

    • Notwithstanding liability pursuant to 7.1, neither Client nor SERAPHIM COACHING & TRAINING HUB shall be liable to the other Party or to any third Party for loss of earnings or profit or other consequential damages or losses as a direct or indirect result of the Work.

    • SERAPHIM COACHING & TRAINING HUB's maximum cumulative liability for breach of contract and for any delays in the Work shall be limited to the contractual compensation for the completed Work or parts of the Work.

    • Client and SERAPHIM COACHING & TRAINING HUB agree that the application of the results of the Work shall be at the user's sole risk.

    • Each Party shall immediately notify the other Party of any circumstances rendering the above clauses effective. All claims in connection with this Agreement must be submitted within 12 months of completion date in order to be valid.

 

Website / Design Services

Introduction:

This section defines the terms and conditions of our working relationship for website design services. Unless otherwise agreed to in writing by both the parties, by placing an order with Seraphim Coaching and Training Hub, you confirm that you are in agreement with and bound by the terms and conditions below.

​

General Terms

Service you can Trust
Seraphim Coaching and Training Hub 's number one priority is to offer the CLIENT a professional web service, which may include, but is not limited to web design, basic maintenance, social media designs and graphic design.

​

Authorisation
T
he CLIENT authorises Seraphim Coaching and Training Hub  to perform the services outlined in this agreement on the CLIENTS’ behalf, which may include, but is not limited to, registering their domain, accessing their hosting account and disk space, creating databases and applications, managing their online advertising, and submitting their project to search engines.

​

Agreement Scope
Services supplied, costs and rates are limited to what is specifically set forth in the service package agreement. Any additional services will require an additional agreement. Our agreement is for the full package containing various services.

Should the CLIENT not utilise all services offered within the complete package, the CLIENT will still be liable for the full payment for the complete package.

​

Costs and Fees
Changes and additions outside of the scope of this document will be quoted and invoiced to the CLIENT. The CLIENT will be advised of all costs, changes and additions before commencement of the additional work. Fees for professional services do not include outside purchases such as, but not limited to, software licensing, copyright licensing, photography, color printouts, illustrations or courier service. Additional expenses are itemized on each invoice.

Production Schedules
Production schedules will be established and adhered to by both the CLIENT and Seraphim Coaching and Training Hub. Where production schedules are not adhered to by the CLIENT, final delivery date or dates will be adjusted accordingly. Additional costs may be charged for CLIENT delays, if the delays result in an increase in time to manage or deliver the services.

Payment


The CLIENT agrees to pay Seraphim Coaching and Training Hub in accordance with the terms specified in each proposal/estimate. Payment will be due from the date of signing the agreement.

If the CLIENT fails to pay any invoice, Seraphim Coaching and Training Hub reserves the right to withdraw the website and associated materials or refuse completion and/or delivery of work until past due balances are paid. All materials or property belonging to the CLIENT, as well as work performed, may be retained as security until all just claims against the CLIENT are satisfied. The CLIENT is responsible for any debt collection, legal or court fees which may come due.

​

In the event of cancellation of the project prior to completion, the CLIENT will be liable for 1 month's payment as per the 30 day cancellation notice.

​

Confidentiality
Seraphim Coaching and Training Hub will not disclose to any third party or use, other than for the purposes of this agreement, any knowledge or information imparted to or obtained by it during or in connection with the fulfilment of this agreement, which is of a secret or confidential nature relating to the business, equipment, processes, products, services or business strategies offered or employed by the CLIENT. This obligation of confidence will cease to apply in relation to information that Seraphim Coaching and Training Hub is required to disclose by any law, or which becomes part of the public domain other than as the result of a breach by Seraphim Coaching and Training Hub of its obligations of confidence under this Agreement.

Outsourcing
If needed, Seraphim Coaching and Training Hub reserves the right to outsource any specific project requirements to insure that the terms of this agreement are met. Any subcontractors or external suppliers will be bound to the terms of this agreement.

​

Promotion
Seraphim Coaching and Training Hub  is confident that the CLIENT’s expectations will be exceeded and as such is notifying the CLIENT that Seraphim Coaching and Training Hub  reserves the right to use the CLIENT’s website, associated graphics and any unused ideas and development in the promotion of Seraphim Coaching and Training Hub  services or any design competitions. CLIENT agrees to allow Seraphim Coaching and Training Hub to retain a credit and link from the footer of the website.

​

Copyright
The CLIENT is responsible for all trademark, service mark, copyright and patent infringement clearances. The CLIENT is also responsible for arranging, prior to publication, any necessary legal clearance of materials Seraphim Coaching and Training Hub uses for this project. The CLIENT indemnifies Seraphim Coaching and Training Hub against any loss or damage arising directly or indirectly from any unauthorised use of photographs, text, or other Intellectual Property not under copyright ownership of the CLIENT.

Ownership / Project Copyright
Seraphim Coaching and Training Hub  reserves all rights over working source files, databases and owns full ownership of the website and design. The CLIENT will not have access to the Control Panel, Database or FTP, unless otherwise agreed to where applicable.

​

Open Source Software
Seraphim Coaching and Training Hub makes extensive use of open source software and components to supply websites and services to the CLIENT. Seraphim Coaching and Training Hub will not charge additional licensing fees on open source software.

​

The CLIENT indemnifies Seraphim Coaching and Training Hub against any loss or damage arising directly or indirectly from any failure of software supplied to the CLIENT.

​

All software and components not developed by Seraphim Coaching and Training Hub retain the original license and terms associated with them. Seraphim Coaching and Training Hub cannot assign any rights to the CLIENT and the CLIENT agrees to be bound by the original Author’s terms.

​

Force Majeure
Seraphim Coaching and Training Hub  shall not be deemed in breach of this Agreement if Seraphim Coaching and Training Hub  is unable to complete the Services or any portion thereof by reason of fire, earthquake, labour dispute, act of God, death, illness or incapacity of Seraphim Coaching and Training Hub  or any local, provincial, national or international law, governmental order or regulation or any other event beyond Seraphim Coaching and Training Hub ’s control (collectively, “Force Majeure Event”). Upon occurrence of any Force Majeure Event, Seraphim Coaching and Training Hub shall give notice to the CLIENT of its inability to perform or of delay in completing the Services and shall propose revisions to the schedule for completion of the Services.

Limitation of Liability
The services and the work product of Seraphim Coaching and Training Hub are sold “as is.” In all circumstances, the maximum liability of its Designers, Directors, Officers, Employees, Design Agents and Affiliates (“Seraphim Coaching and Training Hub parties”), to the CLIENT for damages for any and all causes whatsoever, and the CLIENT’s maximum remedy, regardless of the form of action, whether in contract, tort or otherwise, shall be limited to the net cost of this project as specified in this Agreement. In no event shall Seraphim Coaching and Training Hub be liable for any lost data or content, lost profits, business interruption or for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of or relating to the materials or the services provided by Seraphim Coaching and Training Hub even if Seraphim Coaching and Training Hub has been advised of the possibility of such damages, and notwithstanding the failure of essential purpose of any limited remedy.

 

Termination / Cancellation
Seraphim Coaching and Training Hub may terminate this Agreement with immediate effect giving written notice to the other of such termination. The CLIENT may terminate the agreement providing 30 days written notice. The CLIENT will be liable for final payment during the 30 days’ notice period and all other outstanding balances. The CLIENT shall assume responsibility for collection of all legal fees necessitated by default in payment.


Domain Names
All domain names are legally owned by the CLIENT. All domain name registrations are subject to availability and registration rules. Seraphim Coaching and Training Hub will manage the domain name(s) on behalf of the CLIENT unless the CLIENT requests in writing that the CLIENT manages their own domain(s) and payment of fees.

​

Seraphim Coaching and Training Hub is an Accredited Registrar with the ZA Registry in South Africa.

The CLIENT indemnifies Seraphim Coaching and Training Hub against any loss or damage arising directly or indirectly from any failure of services related to domain renewals, registrations, domain name trademarks.

​

Hosting
Seraphim Coaching and Training Hub will recommend the suggested hosting package required for the CLIENT's project through Wix.
The exact package required will determine the monthly cost and is contacted directly through Wix. Due to website growth, disk-space and an increase in traffic, the CLIENT will be responsible for any over-usage, charged per GB for Traffic & per 10mb for Disk Space.

​

Should the CLIENT decide to make use of their own hosting provider, the CLIENT will be responsible for contacting the chosen host for support relating to hosting matters & ensure that Seraphim Coaching and Training Hub  will have the correct hosting environment needed for the project. Seraphim Coaching and Training Hub will charge for costs incurred liaising with the hosting company and supporting the CLIENT with hosting related issues. Seraphim Coaching and Training Hub will charge for costs incurred due to differences in hosting environment if installation and management exceeds standard time frames.

Browser Variance
Our websites are optimised for XHTML compliant browsers and adjusted to support the latest versions of Google Chrome, Mozilla Firefox & Internet Explorer (IE). We test using the browsers that are statistically the most commonly used. Layout and aesthetic elements may change or degrade in some browsers.

​

Colours
Website visitors use different monitors with different settings. Colours and image quality of the website including graphics and photography will shift between computers and monitors.


Testing and Acceptance of the Website
Once the project has, in the opinion of Seraphim Coaching and Training Hub  been completed, Seraphim Coaching and Training Hub  will notify the CLIENT either verbally or in writing, and provide the CLIENT with an opportunity to test and review the website. If the CLIENT determines that the website does not comply with the Project Components agreed to in this document, Seraphim Coaching and Training Hub agrees to carry out any necessary and reasonable modifications.


Client Responsibilities
If the CLIENT or an agent of The CLIENT other than Seraphim Coaching and Training Hub attempts to update, edit or alter the site’s template, infrastructure, source files or hosting management in a way that causes damage to individual pages or the site’s architecture, time to repair web pages will be assessed at our STANDARD or OVERTIME hourly rate, and is an additional cost above the costs outlined in the agreement.


Errors and Omissions
It is Seraphim Coaching and Training Hub’s responsibility to carefully check for accuracy in all respects, ranging from spelling, technical illustrations and ensure an overall error free environment. However Seraphim Coaching and Training Hub is not liable for errors or omissions. The CLIENT indemnifies Seraphim Coaching and Training Hub against any loss or damage arising directly or indirectly from any errors and omissions.

 

Updates/Changes
Seraphim Coaching and Training Hub offers Monthly Maintenance as set out in the service package agreement. Seraphim Coaching and Training Hub will ensure that any maintenance work is attended to within 48 working hours from date of receiving the instructions from the CLIENT.

Copy
All text must be supplied in digital format that can be copied and pasted. Seraphim Coaching and Training Hub will not re-type/type-out any text found in any non-editable file format.

​

Images
Graphics and photographs are to be supplied in digital format on E-Mail, File Transfer, Flash Drive. Photographs must not exceed a file size of 2mb each (unless by prior arrangement). Larger files will incur an extra cost due to increased time in processing.

​

Branding
All logos and branding must be provided in an industry standard vector format.

​

Fraud/Scam
Should there be any allegations against the CLIENT regarding illegal activity on the website eg, using the website to scam users/ fraud clients, Seraphim Coaching and Training Hub will have the right to terminate the website with immediate effect. It is the CLIENTS responsibility to provide Seraphim Coaching and Training Hub with proof that such allegations are false, before the website will be activated again.

Emails & Spam
While hosting with Seraphim Coaching and Training Hub on wix servers, the below information is effective and the Acceptable Use Policy needs to be followed at all times.


Failure to follow the Acceptable Use Policy could result in a first and final warning, or immediate termination of hosting, website and email services, without notice.

We take privacy and security of customer information seriously and operate a high level of internal security. What information do we collect about you?

 

We collect information about you when you register with us, when you use our services and when you contact us by e-mail or contact forms. We collect information that will help us provide you with a better service whenever you interact with us by whatever means you choose to communicate with us, that could be via the website, email, phone or any other form of interaction such as social media. When subscribing there is a link to this privacy policy and also in the confirmation email that we send when you subscribe and also an ‘unsubscribe’ link at the bottom of every email communication

  • we keep and use your data under contract for as long as you choose to maintain your account once opened, whereas data from subscribers who don’t open an account remains on our system for 3 years after registering or initially subscribing.

  • Apart from our business and the partners or processors that we employ under strict privacy contracts to carry out work for us, we don’t share any data with unrelated parties. Be assured that your privacy is important to us and so your data cannot be accessed by any unauthorised person or business.

  • If for any reason we needed to share your data other than for our business in the future, we will first ask your permission to do so.

 

Can you update your information?

 

  • Most of your data is held in your account on our members portal, you can securely access it there and we’d appreciate it if you keep it up to date amend it or add to it as you wish. Your data is held there under contract until you close your account with us at which point, access to your courses will be disabled and your data will be deleted.

  • You may also update your information by contacting us by email as set out below. Please help us keep your personal data up to date by notifying us of any such changes in accordance with this privacy policy.

 

Can you ask for a copy of the information we hold?

 

  • We conform to the latest data regulations for May 2018 and in addition we conform to best practice by enabling your rights to access your data via your account where available.

  • In addition to conform to the latest data protection legislation i.e. the GDPR 2018 and accordingly your right to access any personal information that we may hold about you. This could be in addition to what you can freely access from the portal and may include for example, information relating to affiliate programme activity if applicable.
